Amendment in Status

A formal or official change made to name, registered address, management or nature of business. Amendments can add, remove, or update the same.

A. Change in Name

Company name is considered as identity of the company which can be changed with the approval of the members in the general meeting. According to Section 21 of the Companies Act , special resolution is required to be passed along with the approval Central Government (Power has been delegated to ROC)

B. Registered address

  • Registered office-In case company wants to change its registered office within local limits of the same city or place, shift or change its registered office outside local limits of city, town or village or  shift the registered office from one state to another state intimation regarding the same has to be filed .
  • Income tax-Change of address in Income Tax data base and  sent a letter to the jurisdictional ITO  informing that you need to change the jurisdiction. You have to apply to the respective Commissioner of Income Tax for changing jurisdiction.
  • Vat-The change of address has to be notified to the concerned officer of the VAT Department. The form for amendment in registered address of VAT varies across states.
  • Service Tax-For change in address you have submit Form ST-1 online for amendment in ST-2. Take the print out of form ST-1 and acknowledgment. Submit the same (ST-1 and acknowledgment along with Address proof) to Service tax department.
  • Excise-Your excise registration will be surrendered and will apply for fresh registration. You can apply for surrender your registration and submit the application along with original RC before the excise department. Entire available credit is transferable along with all goods in stock to factory at new location.

C. Change in nature of business

Company can alter its object clause by way of addition, deletion, modification, substitution, or in any other way, only if it wants:-

a) To carry on its business more economically or more efficiently; or

b) To attain its main purpose by new or improved means; or

c) To enlarge or change the local area of its operations; or

d) To carry on some business which under existing circumstances may conveniently or advantageously be combined with the business of the company; or

e) To restrict or abandon any of the objects specified in the memorandum; or

f) To sell or dispose of the whole, or any part, of the undertaking, or of any of the undertakings, of the company; or

g) To amalgamate with any other company or body of persons.

D. Change in Management

Change in management is an approach to transitioning individuals, teams, and organizations to a desired future state. Under Companies Act, change in directors took place by filing form -32,passing requisite resolution and taking consent or resignation of the person concerned.
